Active Link / Transaction Record Terms
Commercial conditions and transaction-record terms of an active catering link between a caterer and a company.
DRAFT — pending legal review. This text has been finalized by the founder but is not binding legal advice and must not be used in a real Seller–Buyer engagement before lawyer/SMMM approval. The final text will be published with this version number raised after approval. The Turkish version is canonical.
1. Parties, definitions and scope
These terms govern the commercial conditions of an active link between a Seller (food-service seller / food business operator) and a Buyer (corporate customer purchasing the meal service), and the embedded standard meal-service terms. Work&Meal is the intermediary platform operated by POİEX TEKNOLOJİ LİMİTED ŞİRKETİ and the Seller’s commercial representative. Both sides’ representatives accept the link; the Seller AHS, Buyer Platform Terms and these Link Terms versions in force at the moment of acceptance are recorded in the transaction record.
2. Commercial conditions
Conditions held in the link record: location, service period, lunch scope, price and price tiers (snapshot), delivery time, deadline, collection channel and invoice terms. Price tiers and deadline are snapshotted into the link record; a later change in the source menu does not alter that snapshot retroactively.
3. Standard meal-service terms (embedded)
The seller of the meal and the party that issues the invoice is the Seller. Food safety, production, delivery, missing/late/wrong/poor service, content and allergen declaration, complaint and correction flows are within these terms. The Seller is responsible as the food business operator under Law 5996; Work&Meal is the intermediary and does not produce/deliver.
4. Delivery acceptance and objection
Each service day, delivery is accepted via a platform record (delivery note/photo + authorized recipient confirmation + headcount). Objection windows for missing/late/wrong delivery and credit/correction effects are governed by the Delivery Acceptance & Objection Rules; critical food-safety incidents follow a separate path.
5. Accepted contract versions and evidence
The Seller AHS, Buyer Platform Terms and Link Terms versions in force when the link becomes active are stored in the link record together with the accepting authorized user, time and IP/device trace, and are primary evidence in disputes. Termination of the active link cancels the Seller–Buyer pair’s future menu assignments; accrued obligations are settled.
